Insolvency Application of mb Software AG will Not Affect TRIPLAN

With the takeover of the Swiss company Venturis GmbH, formerly a 80% holding of mb Software AG, TRIPLAN AG has secured on a permanent basis all licensing rights of Venturis GmbH. There was already a long-term contractual relationship between TRIPLAN AG and Venturis GmbH, which assigned TRIPLAN AG the exclusive global licensing and marketing rights for all software products for a period of five years.

This means that the application for opening of insolvency proceedings for mb Software AG, presented on 20 July 2001, now has no effect on TRIPLAN AG’s business. There are no other operational links between the two companies.

There is only a link with mb Software AG at the company law level. mb Software has a 7.7 % stake in TRIPLAN. Other shares are the private assets of Bernhard Mursch (18.5%), the founder of mb Software AG. Both shares, in accordance with the relevant listing agreements, are subject to a lock-up deadline of 18 months from the time of the admission to official listing, i.e. September 2002.
