Statement of TRIPLAN AG on the BEKO HOLDING AG takeover offer
Management and supervisory boards are positive about the takeover offer
Bad Soden, 19. January 2007:
BEKO HOLDING AG, an Austrian technology company, made an offer to TRIPLAN AG shareholders on 11 January 2007 to take over their shares. BEKO, which has been a shareholder of TRIPLAN AG since 2004, in 2006 increased its stake in TRIPLAN AG to just under 30 percent. As part of the takeover offer BEKO is offering TRIPLAN AG shareholders 2.20 EUR per share.
The management and supervisory boards of TRIPLAN AG have considered the takeover offer in detail. After having its legal and economic aspects checked by external consultants they have come to a unanimous conclusion that the price of 2.20 EUR per share corresponds to its current value.
In accordance with the BEKO HOLDING AG offer documents TRIPLAN AG should continue as an independent company. The synergies between the two companies will be the focal point of a successful takeover. This should mainly result from a know-how transfer between BEKO and TRIPLAN. A joint strategic positioning in the fields of e-health and product lifecycle management is also planned. Close cooperation between TRIPLAN and the subsidiaries of BEKO HOLDING AG is being particularly considered in the field of engineering services.
In the offer documents BEKO HOLDING AG announces the intention, if there’s a successful takeover, not to sell assets or make essential changes to the organisational structure of TRIPLAN AG. Integration into the BEKO Group offers TRIPLAN AG and its employees the opportunity to further expand in an internationally-positioned holding structure.
The management of TRIPLAN AG has a positive view of the offer of BEKO HOLDING AG. Individual shareholders must however inspect the takeover offer in detail and make a personal decision.
